- Representing borrowers and lenders in the negotiation and drafting of loan documents, entity authorizations, subordination agreements and legal opinions regarding enforceability and entity non-consolidation. Performance of title, survey environmental and other pre-closing due diligence.
- Representing landlords and tenants in the negotiation and drafting of leases and collateral documents, with particular attention to work letters, premises delivery, restrictive use covenants, lease assignment and subletting, and pass-through expense calculations. “Big-Box”, grocery anchor, and drugstore/bank pad leasing constitute particular specialties of the firm.
- Representing clients in entity formation, acquisition, sales, governance, profit distribution and finance. Negotiation and drafting of entity bylaws, organizational minutes, purchase and sale agreements, authorizations, management agreements, partnership agreements, joint venture agreements, limited liability company agreements, profit and capital distribution agreements and private offering memoranda. Extensive experience with limited liability companies, limited partnerships, corporations and holding companies.
